Terms of Service

1. License Grant

By purchasing access to any theia product (the "Software"), you receive a limited, non-exclusive, non-transferable, revocable license for personal use. Ownership of the Software remains solely with the developer. This license does not confer ownership or any rights beyond what is expressly granted in these Terms.

2. Usage Obligations

  • You must use the Software lawfully and responsibly.
  • Any misuse, illegal, or unethical use is strictly prohibited.
  • The developer retains full discretion to determine what constitutes misuse.
  • Violations may result in immediate and permanent license termination without refund.

3. Prohibited Activities

You may not:
  • Copy, distribute, modify, decompile, or reverse-engineer the Software.
  • Use the Software for unlawful activities, including unauthorized resale.
  • Execute the Software on cloud services or virtualized environments without explicit written permission.
  • Attempt to bypass, remove, or alter any license verification, security, or anti-tamper mechanisms.
  • Use the Software in any way that violates the Terms of Service or End-User License Agreement of any third-party platform, application, game, or service.
  • Share, lend, sell, transfer, or otherwise provide your license key, loader credentials, or account access to any other person or entity. Each license is strictly for personal use by the original purchaser only.

4. Indemnification

You agree to fully indemnify, defend, and hold harmless the developer from any claims, damages, losses, liabilities, or legal costs arising from:
  • Your misuse of the Software.
  • Your violation of these Terms of Service.
  • Your infringement of third-party rights or third-party agreements.

This indemnification obligation remains in effect after license termination.

5. License Violations and Consequences

Users who violate these Terms or engage in unauthorized activities may have their license revoked without refund and may be subject to a permanent hardware ID (HWID) ban. Bans are irreversible upon confirmation of a violation. Users found to be in breach of these Terms may also be subject to permanent restrictions on future purchases.

The developer retains sole discretion in determining violations and reserves the right to enforce penalties accordingly. Appeals may be submitted to support@theia.pw but the developer is not obligated to provide justification for any decision and reserves the right to deny any appeal without explanation.

6. Termination Rights

The developer reserves the absolute right to:
  • Terminate licenses at any time for any reason, with or without notice.
  • Cease providing updates or support at any time.
  • Refuse service to any individual or entity at their sole discretion.

No refunds, credits, or compensation will be provided upon termination of service.

7. Dispute Resolution and Governing Law

  • All disputes shall be resolved through binding arbitration under the laws of the jurisdiction of the developer's principal place of business.
  • You expressly waive the right to litigate disputes in court, including participation in any class-action proceeding.
  • Arbitration will take place in a neutral location designated by the developer, and all proceedings will be conducted in English.
  • The developer is not liable for any legal fees incurred by you.

By purchasing and using the Software, you agree to this dispute resolution process irrevocably.

8. Amendments

The developer reserves the right to modify these Terms at any time. Continued use of the Software after amendments implies binding acceptance of the revised Terms. Material changes will be reflected in the "Last updated" date above.

9. User Acknowledgment and Agreement

By purchasing the Software, you:
  • Confirm you have read, understood, and agreed to these Terms of Service.
  • Waive the right to dispute the purchase under any circumstances.
  • Acknowledge that the Software cannot be purchased or used without acceptance of these Terms.

10. Digital Product Delivery

The Software is a digitally delivered product. Upon purchase you receive immediate electronic access, subject to first-time activation via the loader. You agree that:
  • No physical delivery will take place.
  • No tracking information or signed proof of delivery is required.
  • Usage logs and access records serve as final proof of delivery.

11. Mandatory Agreement

To complete a purchase, you must explicitly agree to these Terms of Service by ticking the agreement checkbox at checkout. Without acceptance, the purchase cannot be processed.

12. Limitation of Liability

The developer shall not be liable for:

  • Direct, indirect, incidental, consequential, punitive, or special damages, including loss of data, profits, or business opportunities, even if the developer has been advised of the possibility of such damages.
  • Any harm to your device(s), including but not limited to:
    • Hardware failures of CPU, GPU, RAM, storage, motherboard, or peripherals.
    • Data loss, corruption, or inaccessibility caused directly or indirectly by use of the Software.
    • System instability, crashes, or security vulnerabilities resulting from installation or execution of the Software.
  • Actions taken by you while using the Software, including violations of third-party agreements or policies.
  • Compatibility issues, security risks, or errors that may arise from updates or modifications.
  • Loss of access due to security measures, bans, or enforcement of these Terms.

13. Assumption of Risk

By using the Software, you acknowledge that all risks associated with its use, including damage to hardware, software conflicts, data loss, security vulnerabilities, and any consequences arising from third-party agreements, are solely your responsibility. The developer bears no liability for any claims arising from these risks.
